Schneider Electric agrees to acquire PTC for $22.6 billion in equity value

October 5, 2026

Schneider Electric and PTC announced on October 5 a definitive acquisition agreement under which PTC shareholders would receive $205 per share in cash. The deal values PTC’s equity at $22.6 billion and its enterprise value at $23.7 billion.

PTC supplies software for product design, engineering and lifecycle management. Schneider plans to combine those capabilities with its industrial technology and software portfolio, including AVEVA.

Both boards unanimously approved the agreement. The companies expect closing in the third quarter of 2027, subject to PTC shareholder approval, regulatory clearance and other customary conditions.

Proposed benefits remain forecasts

Schneider projects annual cost savings of about €250 million by the third year and roughly €800 million in revenue synergies. These are management estimates, rather than realized results. The transaction is an agreed acquisition awaiting completion, so PTC has not yet become part of Schneider under this deal.
